1. About these terms
HyperPM (the "platform"), available at https://hyperpm.ai, is operated by PM LABS PTE. LTD. (the "company", "we", "us"). The platform is an AI workbench for quantitative research. You work with AI agents that research ideas and documents, generate and backtest trading strategies, research and mine factors, run event studies, and analyse the datasets and documents you upload or a database you connect for read-only use. You can also keep skill packs (instructions for the agents), run strategies in paper (simulated) trading, receive optional alerts on Telegram and — where the conditions shown on the platform are met — run a strategy live on your own exchange account through API keys you provide.
These terms set out the legally binding conditions on which you use the platform. The Privacy Policy, and the conditions and rules the platform shows for particular features (for example the conditions for live trading), are incorporated into these terms by reference and form part of them.
By creating an account and ticking to accept, or by using the platform in any way, you accept these terms — in your own name, or in the name of the organisation you represent. You represent that you have the right, authority and capacity to enter into them, and, where you act for an organisation, that the organisation has authorised you to do so. If you do not agree with any part of them, do not use the platform.
Please note the provisions that affect your rights: who may use the platform (2.1), confidentiality during the testing period (3.3), points, fees and refunds (section 4), paper and live trading (section 5), not investment advice (7.1), PM.finance (7.2), disclaimers and limitation of liability (section 7), indemnity (section 8), and governing law and jurisdiction (section 12).
2. Who may use the platform, and your account
2.1 Who may use the platform
You must be at least 18 years old and have full legal capacity to use the platform. By creating an account you confirm that you are, and that you will comply with the laws and regulations of the place where you live and of any place where you use the platform.
You must not use the platform where the law that applies to you prohibits it. You represent that you are not the subject or target of sanctions administered by the United Nations, Singapore or any other authority whose sanctions apply to you or to us, and that you are not acting on behalf of such a person. We may restrict or refuse access from particular countries or regions, or by particular persons, where we consider it necessary in order to comply with the law or to manage risk.
2.2 Invitation-only access during the testing period
The platform is in a testing period, and access is by invitation only: an account can be opened only with an invitation code from us. You must not sell, publish or pass on an invitation code without our permission. We may refuse, limit or withdraw an invitation, or decline to open an account, at our discretion. We will tell you on the platform or by email when the testing period ends.
2.3 Your account
You represent and warrant that (a) the details you submit when you register are true, accurate and complete, and (b) you will keep them up to date. Your account is personal to you: you must not share it or let anyone else use it.
You may ask us to close and delete your account at any time by writing to app@hyperpm.ai from the email address registered to the account; how we handle your data when we do so is set out in the Privacy Policy. If live trading is running on your account, or positions opened through the platform remain open, you will need to stop those strategies and close those positions first. We may suspend or terminate your account as set out in "Suspension and termination".
2.4 Keeping your account secure
You are responsible for keeping your sign-in details safe and for everything that happens under your account. Actions taken through your account are treated as your own unless you can show they were caused by the platform. Where the platform offers two-step verification we recommend that you turn it on, and we may require it for some accounts or actions — for example before you connect an exchange API key for live trading. If your account is taken over, appears to have been used without your authorisation, or is otherwise at risk, tell us immediately at app@hyperpm.ai. We are not liable for losses caused by your failure to meet these responsibilities.
We will never ask you — by email, by phone or in a chat — for your password, your two-step verification codes or the secret of an exchange API key. Enter exchange API keys only in the place the platform provides for them.
2.5 Inactive accounts
We do not close or delete an account merely because it has not been used. Where your plan ends, the account may become read-only: you can still see your work, but you cannot start new operations.
3. Using the platform
3.1 Licence
Provided you comply with these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the platform for your own internal use, or that of the organisation you represent. The licence transfers no ownership. Later versions, updates and new features of the platform are equally subject to these terms.
3.2 What you must not do
You must not:
- licence, sell, rent, transfer or otherwise commercially resell the platform, access to it, or any content or data shown on it other than your own content;
- share your account or sign-in details, or register or control multiple accounts, including to get around usage limits or points;
- modify, translate, create derivative works from, disassemble, decompile or reverse-engineer any part of the platform, including its source code, underlying methods, algorithms, interface protocols and the instructions its agents follow, or try to make the agents disclose those instructions;
- use data, content or non-public information obtained from the platform to build a product or service that competes with it; a tool you develop independently, without using that material, is not caught by this clause;
- scrape, copy, republish or transmit any part of the platform in bulk by automated means, or circumvent rate limits, usage limits, access controls or the restrictions placed on code that runs on the platform;
- extract, resell or redistribute market data or other data the platform provides, except as the platform's features allow;
- use the platform's content (excluding your own content) to train AI models;
- try to access another user's account or content;
- upload or connect content or data that you do not have the right to use, that contains malicious code, that infringes the rights of others, that contains other people's personal data without a lawful basis, or that is otherwise unlawful;
- use code that runs on the platform, including strategy and factor code, to attack, overload or escape the platform's systems, or to reach systems the platform's features do not provide for;
- interfere with the operation of the platform or probe it for vulnerabilities (responsible security disclosure excepted — please contact us at app@hyperpm.ai);
- use the platform for market manipulation, money laundering, sanctions evasion or any other unlawful purpose.
3.3 The testing period: changes and confidentiality
During the testing period the platform is still being developed. Features may change, be limited or be withdrawn at any time, sometimes without notice, and results produced with an earlier version of a feature may not be reproducible later.
The platform and everything it shows that is not publicly available are confidential — including its interface, features, agents and how they behave, documentation, data and the outputs it generates. During the testing period you must not share screenshots, recordings, content or outputs of the platform, invitation codes or sign-in details with anyone outside the platform without our written permission (an email from us is enough). This does not apply to content you uploaded yourself, to information that is or becomes public other than through a breach of these terms, or to a disclosure the law requires of you (in which case, where the law allows, tell us first).
When the testing period ends, this section no longer restricts what you share of your own content, including the outputs generated for you. It continues to apply to the rest of the information described above for as long as that information is not public, including after your account is closed.
3.4 No solicitation
Without our written permission, you must not use the platform, or information obtained through it, to solicit or recruit other users of the platform for any reason, including to become users of a competing platform or service. Where you breach this clause we may terminate your account without prior notice and pursue the losses caused.
3.5 Changes and interruptions
We may add, adjust, suspend or withdraw all or part of the platform at any time; where a material adjustment affects paid entitlements, we will give notice in advance. We work to keep the service available, but we do not promise it will be uninterrupted or error-free; planned maintenance will be announced ahead of time where we can. Interruptions can also affect paper and live trading (see 5.6).
3.6 No support or maintenance
We are under no obligation to provide you with support or maintenance for the platform. The technical support and customer service we do provide are voluntary, do not become obligations under these terms, and do not become binding practice by being provided consistently.
3.7 Our rights
The platform's software, interfaces, agents and the instructions they follow, the skill packs, examples and documentation we provide, the data we provide and our marks belong to us, to our licensors or to the respective rights holders. These terms transfer none of those rights to you. If you send us feedback or suggestions about the platform, we may use them freely and without obligation to you.
4. Points, fees and tax
4.1 Plans and points
Many operations on the platform use points — among them conversations with the agents, backtests, research and factor work, reading documents, and running strategies in paper or live trading. How many points an operation uses, the points available to you, and your plan (tier) and its usage limits are shown on the platform. Plans and points are granted by us; during the testing period we may grant, change or withdraw them at our discretion.
4.2 What points are
Points are the platform's internal unit for measuring use. Points:
- are not money, not virtual currency, and have no value in legal tender;
- cannot be sold, transferred, withdrawn, exchanged for money or moved between accounts;
- that come with a plan are granted for each period; points unused at the end of a period do not carry over;
- granted separately, for example as a bonus, may carry their own expiry, as stated when they are granted.
4.3 How points are charged
Before an operation starts, the platform may set aside the points it expects the operation to use, and it settles the actual amount when the operation ends; points set aside but not used are returned. If an operation fails because of a fault on our side, or is interrupted on our side, you are not charged for it. If it ends for another reason — for example because you cancel it, because the input or code it was given is invalid, or because the agent needs more information from you — the points already used are charged. A strategy running in paper or live trading uses points for each day it runs. If your points run out, new operations are refused and a running strategy may be stopped (see 5.6).
4.4 Fees and refunds
- Fees, if any, are shown on the platform or told to you before you incur them. Paid plans, where we offer them, are arranged with us directly — for example against an invoice — and activated by us.
- Fees already paid are not refundable, except where the law that applies to you provides otherwise on a mandatory basis or we agree otherwise in writing.
- We may still refund at our discretion in individual cases. Having refunded once does not oblige us to do so again.
4.5 Usage limits
Each plan has usage limits — for example on how many operations can run at once and on storage — as shown on the platform; once a limit is reached, the corresponding operation is refused.
4.6 Set-off, and points that were not yours
Where you owe us an amount that is due, or have obtained points you were not entitled to through cheating, exploiting a defect or a system error, we may (a) deduct the corresponding amount from what we owe you, and (b) reverse or claw back the corresponding points. We will tell you the reason and the amount within a reasonable time. Where a deduction does not cover it, you must make up the difference and bear the reasonable costs we incur in recovery.
4.7 Tax
Tax arising from your use of the platform or from your trading is yours to declare and pay. We do not calculate, assess or file it for you, and we do not give tax advice. Where the law requires us to withhold or to report to a tax authority, we will do so.
5. Paper trading and live trading
5.1 Paper trading
In paper trading the platform runs a strategy against market data and records the trades it would have made. No real orders are placed and no real money is at risk. Paper trading results are hypothetical: real trading is affected by slippage, market depth, fees, funding payments, latency and interruptions in market data, which a simulation can only approximate.
5.2 Live trading on your own exchange account
Where the conditions shown on the platform are met, you may run a strategy live on your own account at an exchange the platform supports. The conditions may include, for example, a period of paper trading without errors, your plan, the capital you set for the strategy and the settings of your exchange account. Whether they are met is for us to determine; we may change them, and we may refuse, limit or end live trading for any account.
5.3 Your funds stay at your exchange
The platform never holds, receives or takes custody of your funds or assets. They stay in your account at the exchange, which you open and hold yourself under the exchange's own terms. The exchange is not part of the platform: we are not responsible for its conduct, systems, availability, solvency, fees or rules, or for how it handles your orders and assets.
5.4 Your exchange API keys
- You connect an exchange account by giving the platform an API key that you create at the exchange. We ask you to create a key that can only trade — without permission to withdraw or transfer funds — and to restrict it to the IP addresses the platform shows. The platform may check the key's permissions when you connect it and from time to time afterwards, and may refuse, or stop using, a key that does not meet these requirements.
- We recommend, and may require, that you use an exchange account or sub-account dedicated to the platform, holding only the funds you are prepared to commit to live trading. When you connect a key, the platform may require the account to have no open positions or orders, and may set the account settings it needs in order to trade (for example position mode, margin mode and how fees are paid).
- We store your key encrypted and use it only to trade for you on that account: to place and cancel your strategies' orders, and to read the account's balances, positions and orders and the key's permissions.
- You remain responsible for the key and for the exchange account. You can remove the key from the platform at any time, and you can revoke it at the exchange. If you suspect that the key has been exposed, revoke it at the exchange at once and tell us at app@hyperpm.ai.
5.5 The orders are yours
When a strategy runs live, the platform places orders on your exchange account according to the strategy, version and settings you chose, until you stop it or it stops as described in 5.6. Each such order results from the strategy you chose to run, is sent to the exchange with your API key at your instruction, and is your order — whether you wrote the strategy yourself or an agent generated it. You are responsible for monitoring your account and positions. Stopping a strategy does not by itself close the positions it opened unless you choose an option that does; positions left open remain exposed to the market.
5.6 Risk controls, and when trading stops
The platform applies risk controls — for example stopping a strategy when its losses exceed a set limit, or when the positions at the exchange no longer match what the strategy expects. Risk controls can reduce some risks but cannot prevent losses, and they may fail or act late. A running strategy may also stop because your points run out, because of an error at the exchange or on the platform, or because the platform is interrupted. We may pause or stop live trading for any or all accounts at any time, for example for reasons of risk, security, law or maintenance. When trading stops or pauses, new orders may not be placed, and positions already open may remain open.
5.7 The risks of trading
- Prices of digital assets and their derivatives are highly volatile. Trading them, especially with leverage, can result in the loss of your entire principal, and leveraged positions can be liquidated.
- Live results can differ substantially from backtests and paper trading. Past performance does not indicate future results.
- Exchange outages and maintenance, rejected orders, API errors, network latency and interruptions in market data are outside our control, and can cause orders to be delayed, rejected, duplicated or missed.
- The profits and losses of live trading are entirely yours.
- By running a strategy live you confirm that you understand these risks; that you have the risk tolerance, knowledge and experience for it; that live trading is lawful for you where you are; and that you have made your decision independently, on the basis of your own circumstances.
5.8 Alerts
The platform can send you alerts about your strategies in the platform and, if you link Telegram, through Telegram. Alerts are a convenience: they may be delayed or fail, and you should not rely on them as your only way of monitoring your account.
6. Content and intellectual property
6.1 Your content
"Your content" means what you upload or connect to the platform — documents, datasets, the data in a database you connect, skill packs and other instructions — and what you create on it, including your conversations and the outputs generated for you, such as strategy code, factors, research notes, reports and results. As between you and us, your content belongs to you or to its original rights holder, and we claim no ownership of it. AI outputs may be similar or identical to outputs generated for other users, and we do not warrant that any output is original or free of third-party rights.
6.2 Your responsibility for your content
You are responsible for your content and for having the rights it needs. Before you upload a document or dataset, or connect a database, make sure that you are entitled to use it in this way — including under the terms of whoever provided it to you — and that it does not contain other people's personal data unless you have a lawful basis to share it with us. Connect a database only with its owner's authorisation, and with credentials that can read but not change it.
6.3 The licence you grant us
To the extent necessary to provide, secure and support the service, you grant us a non-exclusive, royalty-free, worldwide licence to host, store, copy, process, run, backtest, index and display your content, and to share it with the service providers that help us provide the service, including AI model providers, as described in the Privacy Policy. Event studies you run on the platform's event data are shown to other users of the platform with their settings and results, but without your name. The licence ends within a reasonable period after you delete the content or your account is deleted, except for records we must keep under the law or as set out in the Privacy Policy. We do not use your content to train AI models, and we do not sell it.
6.4 Confidentiality of your content
- Your content is private to your account by default: other users cannot see it, except event studies as described in 6.3.
- A small number of authorised people in our team can access the systems where your content is stored. They look at your content only where needed to give you support you asked for or agreed to, to investigate a problem, to keep the platform and its users secure, or to meet a legal obligation, and only as far as the task requires. Where the platform offers a way for you to grant support access, we use it.
- To run the platform and decide what to build, our team also receives automated alerts and daily summaries about running paper and live strategies, including their names, state and results, and sees across users which kinds of data the research ideas in users' documents need.
- When you use the agents, your conversations and the content they need are sent to AI model providers to produce answers (see the Privacy Policy).
6.5 Infringement complaints and counter-notices
If you believe anything on the platform infringes your intellectual property or other rights, tell us at app@hyperpm.ai as soon as you can, and provide:
- the signature of the rights holder or their authorised representative (physical or electronic);
- the work or right you say has been infringed;
- the content complained of, and enough information for us to locate it;
- your contact details, including your name, postal address and email address;
- a statement that you believe in good faith that the use is not authorised by the rights holder, its agent or the law;
- a statement that the information in your notice is true and accurate, and that you are entitled to act on behalf of the rights holder.
We may remove content alleged to be infringing or otherwise unlawful at our own discretion and without prior notice. Where appropriate we will also terminate a user's account — for example where the user is found to be a repeat infringer.
A party whose content has been removed may submit a counter-notice to the same address, setting out the grounds on which they are entitled to use it. We will pass the counter-notice to the complainant; until the two sides agree or the matter is resolved through legal channels, we may keep the content removed.
7. Disclaimers and limitation of liability
7.1 Not investment advice
- We are a software and information service provider. We are not a broker, an exchange, a custodian or an investment adviser, and we do not make investment decisions for you.
- Strategies, backtests, paper trading, factor and event-study results, research, data analysis and the other content and outputs the platform provides — whether generated by an agent or not — are analytical tools based on historical data and models. They do not constitute, and must not be understood as, investment advice, a recommendation, an offer to buy or sell any financial instrument or digital asset, or a promise of returns.
- Backtest and paper trading results do not represent real trading results and are not indicative of future results.
- AI-generated code, text and analysis may be wrong, incomplete or unsuited to your circumstances, and may differ each time you ask. You must review and verify them yourself before you rely on them or use them in live trading.
- Each decision to trade, and each strategy you run live, is your own decision and your own responsibility.
7.2 PM.finance
PM.finance is a separate, independent service that may allocate capital to trading strategies. It operates under its own terms and rules and makes its own decisions. Whether any capital is allocated to a strategy — and if so, how much and on what conditions — is decided solely by PM.finance under those rules. Using HyperPM, or anything shown on it, gives you no right to, or expectation of, an allocation, and HyperPM makes no promise or representation about it. If you use PM.finance, its own terms and privacy policy apply.
7.3 Third-party services
The platform relies on third-party services — among them cloud hosting, AI model providers, exchanges, market-data sources, Telegram and email delivery. They are provided independently by those third parties, and their availability and conduct are not entirely within our control. The categories of third party and how data is handled are set out in the Privacy Policy.
7.4 Disclaimer
To the maximum extent permitted by law:
- There is no fiduciary duty between us and you, and no other special relationship of trust. We provide tools and information services; we do not make investment judgements on your behalf.
- The platform and all of its content and services are provided "as is" and "as available". We make no warranty, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
- We do not warrant that the platform will meet your particular requirements, nor that it will run uninterrupted or error-free. We make no representation, warranty or promise as to any particular outcome from using it.
- We have no control over, and no obligation to act on, the following: who accesses the platform, which of its content you access, what effect that content has on you, how you understand or use it, and what decisions you make as a result.
- We do not warrant the accuracy, completeness or timeliness of market data, AI output, third-party content or other information displayed on the platform.
7.5 What we are not liable for
To the maximum extent permitted by law, we are not liable for loss or damage arising out of or connected with:
- the conduct, system failures, outages, solvency or rules of any exchange, AI model provider, data source, hosting provider, Telegram, PM.finance or other third party, or their obligations under their own agreements;
- errors, omissions, delays and interruptions in market data, AI output, backtests, paper trading or other information displayed on the platform; and the consequences of operating errors, such as wrong settings, parameters, quantities or prices, and duplicated, rejected or failed orders or submissions;
- third-party fraud or hacking; your device, email account, sign-in details, two-step verification or exchange API keys being broken into, stolen, lost or misused; and losses arising while two-step verification is being reset — whatever the cause;
- our exercise of rights under these terms, including suspending or terminating an account, pausing or stopping a strategy or live trading, reversing points, and refusing or delaying an operation;
- your or anyone else's interpretation of, or reliance on, content or outputs on the platform, and the decisions made on that basis;
- how a strategy performs in paper or live trading, and the profits or losses that result, including losses on positions that remain open after a strategy stops;
- planned maintenance, system upgrades, or adjustments made to meet legal, regulatory or risk-control requirements.
None of the above applies to loss caused directly by our wilful misconduct or fraud, nor to any liability that applicable law does not allow to be excluded, including negligence liability that cannot be excluded by law.
7.6 Limitation of liability
- To the maximum extent permitted by law, we are not liable for indirect loss, loss of profit, loss of trading opportunity or loss of data.
- Our aggregate liability under these terms is capped at the total fees you actually paid us in the 12 months before the claim arose.
- Where applicable law imposes on us a liability that cannot be excluded but may be limited, our liability is limited to the maximum extent the law allows.
7.7 Force majeure
We are not liable for delay, failure to perform or interruption of service caused by events beyond our reasonable control. Such events include, without limitation: severe market volatility, regulatory action, changes in law, government shutdown, natural disaster, war, terrorist attack, civil unrest, strike, interruption of telecommunications or network services, power failure, system or equipment failure, blockchain congestion or forks, and interruptions at exchanges, market-data sources, AI model providers or hosting providers.
This section does not exclude liability that cannot be excluded by law.
8. Indemnity
To the extent permitted by law, you will defend, indemnify and hold us harmless against third-party claims and demands, and the reasonable costs arising from them (including reasonable legal fees), arising out of or connected with:
- your use, misuse of, or access to the platform, the service or its content;
- your trading, including the orders placed on your exchange account through the platform;
- your breach of these terms or of any rules incorporated into them, including any representation or warranty you gave us being untrue;
- content you upload, connect, generate or submit infringing the intellectual property or other rights of another, or breaching the law, including data-protection law;
- statements or representations you make to any third party about the platform, the service or its content;
- acts carried out by anyone else using your account.
We may take over and lead the defence and handling of such a matter at our own cost, in which case you will cooperate with us. This section does not apply to matters arising from our own wilful misconduct or fraud.
9. Suspension and termination
- You may stop using the platform at any time, and ask us to close and delete your account as set out in 2.3.
- Where you seriously breach these terms or legal requirements, or your account presents a security risk, we may restrict, suspend or terminate it, and retain the relevant records where necessary. During the testing period we may also end your access at our discretion; where you have not breached these terms, we will give you reasonable notice where we can.
- Where live trading is running on an account we suspend or terminate, we may stop its strategies or let them only reduce positions, and we may close positions opened through the platform, as we consider appropriate in the circumstances. Where we can, we will tell you first so that you can manage your positions yourself.
- After termination, the provisions of these terms that by their nature should survive — confidentiality, intellectual property, limitation of liability, indemnity and dispute resolution among them — continue to apply.
10. Changes to these terms and notices
- We may update these terms. When we do, we will change the "Last updated" date and publish them on the platform. Where a change materially affects your rights or obligations, we will tell you by email or on the platform, with a short summary of what changed, at least 14 days before it takes effect — unless the change is required sooner by law or for security, in which case we will tell you as early as we can — and, where necessary, ask you to accept the terms again. Continuing to use the service after a change takes effect, including leaving paper or live strategies running, means you accept the updated terms. If you do not accept a change, stop using the platform; you may ask us for a copy of your data and to close and delete your account.
- A notice we send to your registered email address is treated as delivered when sent.
- For any question, complaint or request about these terms, write to app@hyperpm.ai.
11. General
11.1 Entire agreement
These terms, together with the documents incorporated by reference, are the entire agreement between you and us on your use of the platform, and replace any earlier communication or arrangement on the same subject.
11.2 Severability
Where any provision of these terms is held unenforceable or invalid, that provision is to be narrowed or removed to the minimum extent necessary to achieve its purpose, and the remaining provisions continue in full force.
11.3 Waiver
Our failure to exercise, or delay in exercising, any right under these terms is not a waiver of that right.
11.4 Assignment
You may not assign your rights and obligations under these terms without our written consent; we may assign these terms as part of a transfer of the business, a restructuring or a merger.
11.5 Language
These terms are written in English and may be translated into other languages. If a translation differs from the English version, the English version prevails.
11.6 Third-party rights
A person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of them.
12. Governing law and dispute resolution
The formation, validity, interpretation and performance of these terms are governed by the law of Singapore, excluding its conflict-of-laws rules.
Disputes arising out of or in connection with these terms should first be resolved through good-faith negotiation. Failing that, either party may bring proceedings before a court of competent jurisdiction in Singapore.
This section does not affect rights given to you by the mandatory law of your own jurisdiction that cannot be excluded by agreement.
